Policies & agreements

The documents below govern your use of Vizbl's website, platform, viewers, APIs, SDKs and integrations. They apply to all users of services operated by Vizbl Systems, Inc.

1. Acceptance of these Terms

These Terms of Use ("Terms") are a binding agreement between you and Vizbl Systems, Inc. ("Vizbl", "we", "us"), a Delaware corporation with a principal place of business at 155 S. Fair Oaks Ave, Suite 1005, Pasadena, CA 91105.

By creating a Vizbl account, accessing vizbl.com, embedding the Vizbl viewer, calling our APIs, installing our SDKs, or otherwise using the Platform, you accept these Terms. If you do not accept them, do not use the Platform.

If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization, in which case "you" includes that organization.

2. Definitions

  • "Platform" means the Vizbl websites, hosted dashboard, 3D and AR viewers, APIs, SDKs, integrations, mobile apps, and any related services made available by Vizbl.
  • "Content" means any 3D models, AR assets, CAD-derived assets, photographs, images, text, materials, metadata, product data, catalogs, or other materials you upload, submit, publish, host, or otherwise make available through the Platform.
  • "Customer" means a business that licenses the Platform.
  • "End User" means an individual who interacts with content rendered by the Platform on a Customer's website, app or share link.

2A. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced on this page or by email at least thirty (30) days before they take effect, except where a shorter period is required by law or to address security or compliance issues. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

3. Your account

You are responsible for the security of your credentials and for all activity that occurs under your account. Notify us immediately at security@vizbl.com if you suspect unauthorized access.

You must be at least 18 years old, or the age of majority where you reside, to create an account.

4. Your Content

License to Vizbl

You retain all rights to your Content. You grant Vizbl a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, render, transcode, optimize, adapt, and display your Content solely as necessary to operate the Platform and provide the services you have requested.

Your responsibility for your Content

You represent that you own, or have all rights and licenses necessary to upload and use, your Content. You are solely responsible for the legality, accuracy and appropriateness of your Content, including all 3D models, AR assets, product images, dimensions, materials, claims and metadata.

Digital Asset Hosting and Extraction Risk.

You acknowledge that Content, including 3D models, AR assets, previews, thumbnails, renderings, optimized files, converted files, catalog assets, product images, product data, and other digital assets, may be hosted, transmitted, displayed, published, or otherwise made available through the Platform, websites, e-commerce storefronts, AR viewers, 3D viewers, APIs, SDKs, integrations, or other digital environments.

You are solely responsible for determining whether your Content and any related digital assets are appropriate for upload, hosting, display, publication, testing, customer-facing use, or commercial use.

You acknowledge that no online platform, hosted system, browser-based experience, AR viewer, 3D viewer, API, SDK, website, or digital asset delivery system can guarantee that content will not be accessed, viewed, copied, downloaded, extracted, scraped, reverse engineered, captured, reproduced, or otherwise used by unauthorized persons or technically sophisticated users.

To the maximum extent permitted by applicable law, Vizbl will not be responsible or liable for any access to, viewing, copying, downloading, extraction, scraping, reverse engineering, capture, reproduction, disclosure, misuse, or unauthorized use of your Content or any related 3D models, AR assets, previews, thumbnails, renderings, optimized files, converted files, catalog assets, or other digital assets, except to the extent directly caused by Vizbl's willful misconduct.

You assume all risk associated with uploading, submitting, processing, hosting, publishing, displaying, distributing, or otherwise making available your Content and related digital assets through or in connection with the Platform.

5. Permitted use

Subject to these Terms and the Acceptable Use Policy, Vizbl grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes.

You may not (a) reverse engineer, decompile or disassemble the Platform; (b) interfere with its operation; (c) use it to build a competing product; (d) circumvent rate limits or security mechanisms; or (e) use the Platform in violation of applicable law.

6. Third-party services

The Platform integrates with third-party services such as Shopify, WordPress, Wix, BigCommerce, Squarespace, Apple Quick Look and Google Scene Viewer. Your use of those services is governed by their own terms, and Vizbl is not responsible for their behavior, availability or data handling.

7. Fees and billing

Paid plans are billed monthly or annually in advance. Fees are non-refundable except where required by law. We may change pricing on at least thirty (30) days' notice; changes apply to the next renewal cycle.

If your account is past due, we may suspend the Platform until payment is received.

8. Intellectual property

The Platform, including its software, models, designs, trademarks, logos, documentation and all related intellectual property, is owned by Vizbl Systems, Inc. or its licensors. No rights are granted to you except as expressly set out in these Terms.

"Vizbl", the Vizbl logo and the VIZBL® word mark are trademarks of Vizbl Systems, Inc.

9. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, to the maximum extent permitted by law.

Vizbl does not warrant that the Platform will be uninterrupted, error-free or secure, or that defects will be corrected.

10. Limitation of liability

To the maximum extent permitted by law, in no event will Vizbl be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, data, business, or substitute services, arising out of or related to these Terms or the Platform, even if Vizbl has been advised of the possibility of such damages.

Vizbl's aggregate liability for all claims relating to the Platform will not exceed the greater of (a) the amounts you paid Vizbl in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

11. Indemnification

You will defend, indemnify and hold harmless Vizbl and its affiliates, officers, employees and agents from and against any claims, damages, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of or related to (a) your Content, (b) your use of the Platform, (c) your violation of these Terms or any law, or (d) your violation of the rights of any third party.

12. Conflict with separate agreements

If you and Vizbl have signed a separate written agreement covering the same subject matter — including a Master Services Agreement, Order Form, Statement of Work, Mutual Non-Disclosure Agreement, Data Processing Addendum or Service Level Agreement — that signed agreement will control to the extent of any conflict with these Terms for the matters it covers.

13. Termination

You may stop using the Platform at any time. We may suspend or terminate your access at any time, with or without notice, for cause (including breach of these Terms or our policies) or for our convenience. Sections that by their nature should survive termination will survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The state and federal courts located in Los Angeles County, California will have exclusive jurisdiction over any disputes, except that either party may seek injunctive relief in any competent court.

15. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. No waiver is implied from any failure to enforce. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
